For most women, there are two factors that will determine if she sleeps with you: time, and her feelings about herself when she's with you.
In this aspect of any relationship at any level, you will have to understand, accept, and act like the decision to have sex is hers - because it is. Even if you've reached the stage where your kissing is a little more intense, and she's allowing you access to certain areas of her body, don't make the assumption that means sex is a given.
A woman needs to feel that she isn't a tally that you're going to tell your friends about an hour after you've gotten out of her bed. She needs to feel special. That doesn't always mean she expects a commitment, but she expects that you respect her and understand that what she's about to do is something she doesn't do lightly.
In the book "What Women Want" women said they generally wait 1-3 months before they sleep with a guy and they will initiate it when they're ready for it. Women have said over and over that a man who is too sexually aggressive too soon in the relationship is a turn off and a deal breaker.
